Agreement to Terms
These Terms of Use (“Terms”) govern your access to and use of www.ivystone.com and any related websites, applications, or services operated by Ivystone Group, LLC (“Ivystone,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the Site.
About Ivystone
Ivystone is a sales representative agency that represents and markets brands to retailers and wholesale buyers. Ivystone is not the manufacturer, seller, or merchant of record for the products displayed on the Site. All product purchases, warranties, defects, safety claims, recalls, and fulfillment obligations are the responsibility of the respective brands or manufacturers.
Eligibility and Account Registration
To access certain features, including wholesale ordering, you may need to create an account and provide accurate business information such as resale certificates and tax identification. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Ivystone may approve, deny, or revoke account access at its discretion.
Website Content and Intellectual Property
All materials on the Site—including product images, descriptions, photographs, videos, graphics, logos, text, layouts, and other content (“Content”)—are owned by Ivystone, the brands we represent, or third-party licensors. The Content is provided solely for browsing, ordering, and informational purposes. User-Generated Content (Future Use)
The Site does not currently allow users to submit reviews, comments, uploads, or other user-generated content (“UGC”). If UGC features are added in the future, these Terms will automatically apply. Any UGC must be lawful and appropriate for a professional wholesale environment, and Ivystone reserves the right to remove or restrict such content at its sole discretion.
Prohibited Conduct
You agree not to engage in any activity that could harm Ivystone, interfere with Site operations, or violate any laws. Prohibited conduct includes but is not limited to:
- Scraping, harvesting, or mining data, product information, or pricing
- Using bots, crawlers, spiders, or automated tools to access the Site
- Circumventing authentication, security mechanisms, or account restrictions
- Reverse engineering, modifying, or interfering with Site functionality
- Uploading malware, attempting unauthorized access, or disrupting service
- Impersonating Ivystone personnel or misrepresenting your identity
- Using Site materials (including imagery) without authorization
- Using the Site for fraudulent, illegal, or harmful purposes
Ivystone may suspend or terminate your access for violations of these Terms.
Product Information and Third-Party Responsibilities
All product data, specifications, availability, images, pricing, and descriptions displayed on the Site are provided by the brands we represent and may change at any time. Ivystone does not guarantee the accuracy or completeness of this information. All orders, returns, replacements, warranties, and customer service issues are handled directly by the manufacturer, brand, or their designated fulfillment partner.
Third-Party Links and Services
The Site may include links to third-party websites, tools, or services. Ivystone is not responsible for the content, policies, accuracy, or actions of any third-party systems.

Security

Limitation of Liability
To the fullest extent permitted by law, Ivystone shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, data, revenue, or business opportunities arising from your use of the Site. Ivystone’s total aggregate liability shall not exceed one hundred dollars ($100). Some jurisdictions do not allow certain limitations; in those cases, liability is limited to the greatest extent permitted by law.
Indemnification
You agree to indemnify, defend, and hold harmless Ivystone, its employees, officers, affiliates, and partners from all claims, losses, liabilities, damages, expenses, or costs arising out of your use of the Site, violation of these Terms, or infringement of any third-party rights.
Arbitration Agreement
Any dispute, claim, or controversy arising from or relating to these Terms or your use of the Site shall be resolved exclusively through binding arbitration conducted in Exton, Pennsylvania. Arbitration shall take place on an individual basis.
No Class Actions
You agree that disputes must be brought in your individual capacity only and not as a plaintiff, class member, or representative in any class action, collective action, or class arbitration.
Waiver of Jury Trial
You and Ivystone waive any right to a jury trial in any legal proceeding arising out of these Terms.
Opt-Out of Arbitration
If you do not wish to be bound by the arbitration and class-action waiver provisions, you must send written notice to Ivystone within 30 days of your first use of the Site.
Governing Law and Venue
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles. Except where arbitration applies, all disputes must be brought in courts located in Exton, Pennsylvania.
Changes to These Terms
Ivystone may modify these Terms at any time. Updated Terms will be posted on the Site, and continued use constitutes acceptance of any changes.
